Jason Gonzalez
Chief Executive Officer

Jason Gonzalez is the founder and Chief Executive Officer of Visual Management Systems, Inc. Before launching the company in 2003, he served as Chief Operating Officer for Infinite Sales, Inc., a wholly owned subsidiary of Freedom Systems, a leading distributor of DVRs in the United States. Prior to Freedom Systems, Inc., Mr. Gonzalez was a Vice President at Merrill Lynch in their ML Direct division. He also worked for Olde Discount Corp. and William R. Hough & Co. as a registered representative, general and municipal securities principal. Mr. Gonzalez graduated Embry-Riddle Aeronautical University and carries a B.S. in Business Administration. He has completed an additional 20 credits in Aeronautical Science and Aerospace Engineering. Mr. Gonzalez is also a graduate of the SIA Securities Industry Institute and a NICET certified Video Security Systems Analyst.


J.D. Gardner
Chief Financial Officer

J.D. Gardner joined VMS as Chief Financial Officer in June, 2008. Prior to VMS, Mr. Gardner served as CFO and COO for Amedia Networks, Inc. Before joining Amedia, Mr. Gardner was COO of dotPhoto, a private online photo processor and wireless application developer. From 2002 to 2004, Mr. Gardner served as Chief Executive Officer for Comstar Interactive, a private company engaged in wireless credit card processing. He has also served as CFO at BellSouth Wireless Data (renamed Cingular Interactive) and BellSouth Mobile Data. Additionally, Mr. Gardner has held several other senior executive positions at BellSouth and AT&T. Mr. Gardner has an M.S. from the Stanford Graduate School of Business, an M.B.A. from Fairleigh Dickinson University and a B.A. from Wartburg College.

Caroline Gonzalez
Chief Operations Officer

Caroline Gonzalez joined VMS in 2004 and currently serves as Chief Operations Officer. From inception until August, 2006, Ms. Gonzalez co-managed Visual Management Systems’ financial operations as Controller. From 1997 until 2001, Ms. Gonzalez was Director of Education and General Manager for two franchisees of Sylvan Learning Centers where she was responsible for four different centers in multiple states. Ms. Gonzalez also worked in public education from 1997 until 1999 and for the 2001 and 2002 school years. She graduated from the University of Central Florida with a B.S. in Elementary Education.

Jonathan Bergman
Chief Sales and Marketing Officer

Jonathan Bergman joined VMS in September, 2003 as Vice President-Marketing and Sales. Previously, he served in various capacities for Freedom Systems, including Loss Prevention Consultant, Area Manager and Regional Manager. From 1996 to 2001, Mr. Bergman served as a General Manager and the Director of Food and Beverage Operations for Inn America Hospitality. Prior to Inn America Hospitality, he owned and operated Advantage Building Maintenance, a general building services contractor. Mr. Bergman attended N.Y. City Technical College and Florida International University and earned his A.S. in Business Management and his B.S. in Hospitality/Business Management.

Kevin Sangirardi
Director of Operations

Kevin Sangirardi joined VMS in January, 2004 and currently serves as Director of Operations. From 1999 until 2004, Mr. Sangirardi was employed by Freedom Systems, Inc., as Director of Operations. Prior to joining Freedom Systems, Inc., he served in various capacities for Slomins International and World Wide Security Services. Mr. Sangirardi graduated from Delhi University, New York with an A.O.S. in Electrical Engineering. He carries licenses and certifications from NICET and National Alarm Association. He also holds a New York State Burglar and Fire Alarm License, Commonwealth of Virginia Department of Criminal Justice Compliance Agent License, Connecticut L5 Low Voltage Electrical License, Massachusetts Class D Low Voltage Electrical License and a New Jersey Fire and Burglar Alarm License.

Mustafa R. Qutub
Director of Investor Relations

Mustafa Qutub joined VMS as Director of Investor Relations in May, 2008. Prior to VMS, Mr. Qutub advised high-tech and retail start-ups on marketing, fund-raising and business development as an independent consultant. Additionally, Mr. Qutub has several years experience managing media relations, analyst relations and investor relations support with Retek Inc., a retail enterprise software vendor now owned by Oracle Corp. Mr. Qutub received a J.D. from Northwestern University in 2006 and a B.A. from Carleton College in 1998.

W. Geoffrey Martin
General Counsel

W. Geoffrey Martin joined VMS as General Counsel in November, 2007. Mr. Martin is admitted to the bar of the State of Illinois and as in-house counsel in the State of New Jersey. From January 2006 until his hiring, he was engaged in the private practice of law as a sole practitioner. Mr. Martin received a J.D. from the University of Illinois in 2005, and a B.A. from the University of Illinois in 1999. Previously, Mr. Martin served as a financial product designer for US Bancorp and as an Assistant Vice President for business development and marketing for Merrill Lynch.

BOARD OF DIRECTORS

Michael Ryan

Mr. Ryan has spent over 20 years in the security industry. He owns and operates Fire Code Services, a New Jersey based fire protection systems and services business. Fire Code Services provides fire safety equipment to skyscrapers throughout New York City and New Jersey. His client list is amazing, including property management giants like Mack-Cali, municipalities of various sizes and structures, and has future prospects such as the Freedom Towers. Mr. Ryan also owns a very successful Jersey City Restaurant, PJ Ryan’s, and is a VMS customer through this business. Mr. Ryan is the commissioner of the Jersey City Planning Board and has been honored as the Man of the Year by the Frances Pope Foundation, The Boys and Girls Club of Jersey City, and most recently, Irishman of the Year by the Friendly Sons of St. Patrick. Mr. Ryan has played an important role with active discussions with management and assistance with investors.

Colonel Jack Jacobs

Colonel Jack Jacobs U.S. Army (Retired) earned the Medal of Honor for exceptional heroism on the battlefields of Vietnam. He also holds three Bronze Stars and two Silver Stars. Colonel Jacobs served on the faculty of the U.S. Military Academy at West Point and the National War College in Washington, D.C. After retirement, he founded and was chief operating officer of Auto Finance Group. He has served as a managing director of Bankers Trust Co. and later co-founded an investment management business for Lehman Brothers. He is a member of the Council on Foreign Relations and is a director of the Medal of Honor Foundation. Colonel Jacobs currently serves as a military analyst for NBC/MSNBC.

Robert Moe

Robert Moe is the founder and CEO of RAM Capital Corp. With over twenty years of experience in financing service businesses, Robert has completed numerous transactions in the security industry involving debt and equity financing, mergers, and acquisitions. He has acted as an advisor to clients regarding growth and operating strategies, developed internal accounting and reporting systems, functioned as an interim CFO, and served on the boards of select client companies. In particular, he has worked closely with companies seeking to implement and finance planned high-growth strategies. Recognized as having expertise in service industries in general and recurring revenue businesses in particular, he has written for various industry publications and been a speaker at industry conferences on the topics of industry-specialized financing, value creation, and strategic management.

Marty McFeely

Marty McFeely is the Chief Financial Officer of El Rancho Foods, one of the largest Taco Bell restaurant franchisee organizations in the United States. Marty has been a certified public accountant since 1991. He has extensive experience in the hospitality industry, holding Controllership or CFO positions in small- and medium-size businesses, and privately held and public entities as well. He has designed, consulted, implemented, and maintained accounting and operational information systems for clients such as restaurant and hotel franchises, transportation, and construction companies. Marty is a practicing tax accountant knowledgeable of business and individual taxation strategies.
